Master Terms of Service · Version 1.0 · 5 October 2026

以下为通用服务条款英文正文。具体产品协议和订单适用条款会在付款前提供;客户资料、订单信息及签署文件在对应订单流程中处理。既有订单保留其已接受的文件版本。

Applies to an Order only when this version is identified and accepted for that Order. These Master Terms of Service (the Terms) are between SHIKANOKO NETWORKS LTD, a company incorporated in England and Wales under company number 17131877, whose registered office is 128 City Road, London, United Kingdom, EC1V 2NX (the Provider, we or us), and the customer identified in an Accepted Order (you or the Customer). These Terms apply only when the applicable Order identifies this version of the Terms and you accept them before the Order is accepted. Your service-specific rights and obligations are also set out in the applicable Product Agreement and Order.

1. Definitions

1.1 Accepted Order means an order record, resource order, schedule or other written order that identifies the Customer, selected Service, applicable Product Agreement, prices and currency, payment and renewal arrangement, term, technical scope, applicable AUP version and this Terms version, and that has been accepted in the manner stated in the Product Agreement or Order.

1.2 AUP means the acceptable use policy version identified for the Service in the Accepted Order or applicable Product Agreement.

1.3 Consumer means an individual acting for purposes wholly or mainly outside that individual's trade, business, craft or profession, or a person who otherwise qualifies for mandatory consumer protection under the law applying to the contract.

1.4 Product Agreement means the service-specific agreement identified in the Accepted Order, including the Sponsoring LIR Agreement, IPv4 Address Lease and Services Agreement, or another agreement identified for that Service.

1.5 Service means only the product and tasks expressly listed in the Accepted Order and applicable Product Agreement. A website description, support reply or technical conversation does not add a paid service unless the Provider accepts it in writing.

1.6 RIPE Policies means the applicable policies, procedures, contractual requirements and operational rules published or administered by RIPE NCC and the RIPE community, as applicable to the Service.

2. Scope and customer capacity

2.1 These Terms govern general matters for Services purchased from the Provider where incorporated in an Accepted Order. They do not themselves allocate, transfer, lease, sponsor or reserve any Internet number resource.

2.2 Each Order must identify the Service and Customer. If you contract as a business or organisation, you confirm that you act for that business or organisation and have authority to bind it. If you are an individual, your legal status and rights are determined by the facts and applicable law; a label or declaration in a form does not remove mandatory consumer rights.

2.3 The IPv4 Product Agreement is intended for business customers and states its own eligibility boundary. A person ordering for private or hobby purposes must not rely on a business-use declaration to waive consumer rights. Any consumer order requires the applicable consumer terms and review before acceptance.

3. Contract documents and order of precedence

3.1 The documents forming a Service package are the Accepted Order, the applicable Product Agreement and its schedules, these Terms where expressly identified and accepted, and the applicable AUP. The Privacy Notice is a data-protection notice and does not by itself vary commercial terms. Nothing in these Terms varies an existing signed Product Agreement or Accepted Order.

3.2 Mandatory law prevails. Subject to that, priority is: (a) a signed or otherwise validly accepted amendment expressly identifying the provisions it overrides; (b) the Accepted Order’s specific commercial, customer, resource and technical particulars; (c) the applicable Product Agreement; (d) the version of these Terms expressly identified in the Accepted Order; and (e) the applicable AUP. An Accepted Order varies a general legal provision only if it identifies that provision and expressly states the variation. No document permits a breach of applicable RIPE Policies.

3.3 A Customer purchase order, procurement form, portal entry or standard terms does not amend the contract unless the Provider expressly accepts the change in a written amendment signed or otherwise accepted by both Parties.

3.4 The Privacy Notice explains the Provider’s processing of personal data. It does not constitute consent to processing where consent is not the applicable lawful basis, and does not independently set or vary the Service scope, price, term, liability or performance commitments. Nothing in the contract limits mandatory data-protection law.

3.5 A later website update does not retrospectively change an Accepted Order. An existing contract may be changed only under its Product Agreement, by an agreed amendment, or where mandatory law permits the change.

4. Orders, acceptance and contract records

4.1 Before you place or accept an Order through an electronic ordering process, the Order or checkout will identify: (a) the Service and the applicable contract documents and versions; (b) the technical steps required to conclude the contract; (c) how and when the Order is accepted and the contract is formed; (d) whether the concluded contract will be filed by the Provider and whether it will be accessible to you; (e) the technical means for identifying and correcting input errors before the Order is placed; (f) the language or languages offered for conclusion of the contract; (g) any relevant code of conduct to which the Provider states that it subscribes and how that code can be accessed; (h) the price or method of calculation, currency and applicable taxes; (i) payment method and timing; (j) contract duration, renewal arrangement and cancellation method; and (k) any other information required by applicable law.

4.2 The Product Agreement or Accepted Order determines when a contract is formed and when its service-specific obligations take effect. Signing, payment, RIPE NCC submission, RIPE NCC approval, provisioning and Service activation are separate events unless the applicable Product Agreement or Accepted Order expressly provides otherwise.

4.3 Where an Order is placed through technological means and applicable law requires an acknowledgement, the Provider will acknowledge receipt without undue delay by electronic means. Contract terms made available electronically will be provided in a form capable of being stored and reproduced. Following acceptance, the Provider will provide or make available the accepted contract documents on a durable medium where required by law. The accepted copy will identify the Order reference and the applicable document versions. An acknowledgement of receipt is not acceptance unless it expressly states that the Order has been accepted. Payment alone does not constitute acceptance of an incomplete or conflicting Service selection.

4.4 You may correct errors in the information and selections submitted before final acceptance by using the checkout correction process or contacting us through the published order channel. The final Order must reflect the selections accepted by both Parties.

4.5 Where electronic signatures are used, each Party intends an electronic act adopted to authenticate the relevant document to act as its signature to the extent permitted by applicable law. The Provider will retain the signed copy and the available signing evidence. This clause does not establish that RIPE NCC accepts a particular electronic format or submission method.

5. Prices, payment and taxes

5.1 The Accepted Order sets the price, currency, any one-time charge, recurring charge, billing period, due date, payment method and whether a payment renews automatically. No amount, billing frequency or renewal is implied from a different Service, an earlier Order or a general website price.

5.2 Before a Customer becomes bound, the Order or checkout will state the total price or how it is calculated and will identify any VAT or other tax treatment required for that Customer and Service. The Customer is responsible for accurate billing and tax information. The Provider may correct a tax treatment where required by law and will explain the correction and any resulting charge.

5.3 If an Accepted Order provides for automatic renewal, it must state the renewal period, renewal charge or calculation, charge date or method for identifying it, and how to stop future renewals. A cancellation stops future charges from the applicable date but does not shorten a paid period unless the Product Agreement or mandatory law provides otherwise.

5.4 Payments may be processed by a third-party payment provider identified at checkout. The Customer must use an authorised payment method and keep payment details current. The payment provider may apply its own terms to payment processing.

5.5 A price or tax change for an existing Service applies only as allowed by the Product Agreement and mandatory law. No change is retrospective to a period already paid for.

6. Service scope and third-party decisions

6.1 The Provider will perform the tasks expressly stated in the Accepted Order and Product Agreement with the standard required by applicable law. Additional hosting, transit, BGP sessions, router configuration, monitoring, DNS, abuse handling, support response times or service levels are included only if expressly listed.

6.2 Where a Service involves RIPE NCC, an upstream network, data centre, payment processor or other third party, that third party operates under its own policies and processes. RIPE NCC independently decides whether to approve or maintain a resource request. Unless expressly stated as a binding commitment in the Accepted Order, estimated review or delivery periods are targets and not guaranteed dates.

6.3 The Product Agreement determines when work, recurring charges, the term and any service rights begin. A signature or payment does not by itself prove that a resource has been approved, provisioned, activated or made globally reachable.

6.4 No description of an Internet number resource as a lease, assignment, sponsorship or service changes its legal or registry status. Resource-specific rights and restrictions are determined by the Product Agreement, Accepted Order, RIPE Policies and mandatory law.

7. Customer responsibilities

7.1 You must provide accurate, complete and current information and documents, maintain authority to act for the named Customer, and promptly tell us about material changes to those details.

7.2 You must respond within reasonable time to proportionate information requests needed to assess an Order, perform the Service, comply with RIPE Policies or law, address abuse, or maintain accurate registry records. A delay caused by missing Customer information may affect an estimated delivery time.

7.3 You must use the Service lawfully and comply with the Product Agreement, Accepted Order, AUP and applicable RIPE Policies. You remain responsible for the actions of people to whom you give access to the Service or resource, as specified in the Product Agreement.

7.4 You must not represent that the Provider or RIPE NCC has approved a use, route, resource, technical configuration or application unless that approval has been given.

8. Acceptable use and response to incidents

8.1 The AUP version identified for the Accepted Order applies to the Service. You must not use or permit use of the Service for unlawful activity, network abuse, unauthorised access, route hijacking, route leaks, attacks or activity that threatens network stability or security.

8.2 If we reasonably identify a breach or material risk, we may ask you to investigate, contain or correct it. We will give notice and a reasonable opportunity to respond or remedy where practicable. We may take proportionate immediate action where reasonably necessary to address an urgent security, abuse, legal, registry or network risk.

8.3 Suspension, termination, resource withdrawal and any fee consequences are governed by the applicable Product Agreement and mandatory law. This general clause does not create broader suspension or termination rights than those documents provide.

8.4 An AUP update does not amend a signed Product Agreement or Accepted Order except through the change mechanism in that document or where a change is required by law or a RIPE Policy that applies to the Service.

8.5 If a signed Product Agreement or service schedule sets a more specific report-handling, response, cure, notice, emergency-restriction, customer-review or appeal procedure, that procedure remains governed by the express hierarchy of that Service package. Neither this clause nor a later general AUP reduces a stated response window or cure/review right, or expands suspension or termination authority, except through an agreed amendment or where mandatory law or a binding RIPE Policy requires it.

9. Renewal, cancellation and expiry

9.1 The Accepted Order states whether the Service is for a fixed term, renews automatically or continues until terminated on notice. It also states how and when the Customer may cancel or give notice.

9.2 A cancellation of future billing does not itself transfer, release, preserve or extend an Internet number resource. Resource use, sponsorship changes, renumbering, expiry, renewal and return are controlled by the applicable Product Agreement and RIPE Policies.

9.3 Termination of one Accepted Order does not automatically terminate another Order unless the relevant Product Agreement expressly provides otherwise or the same event materially affects the other Service.

9.4 Any statutory cancellation or withdrawal right is addressed by clause 10 and the Consumer Supplement, where applicable.

10. Consumers and statutory cancellation rights

10.1 If you are a Consumer, nothing in these Terms or a Product Agreement excludes, restricts or delays a consumer right or remedy that cannot lawfully be excluded, restricted or delayed.

10.2 Where a Consumer has a statutory cancellation right, the applicable Consumer Supplement and the pre-contract information provided for the Order will explain the right, deadline, procedure and any amount that may lawfully be payable if the Consumer requests early performance. This clause is not a waiver of that right.

10.3 Any request to begin a service during a statutory cancellation period must be separately and expressly made by the Consumer, must not be selected by default, and must be recorded and confirmed on a durable medium where required. A general acceptance of these Terms or a signature on a business-facing Product Agreement is not by itself that request.

10.4 The Provider will not state that submitting a request to RIPE NCC, RIPE NCC beginning its review, or payment alone ends a Consumer's cancellation right. Any loss of that right or charge for performance during the cancellation period must follow applicable law and the properly recorded Consumer choice.

10.5 The Consumer Supplement must be read with these Terms and the applicable Product Agreement. If they conflict on a Consumer's mandatory rights, the mandatory right prevails.

11. Suspension and termination

11.1 A Product Agreement sets the specific grounds, notice, remedy period and consequences for suspension or termination of a Service. We will follow that procedure and applicable law.

11.2 Where no service-specific procedure applies, we may suspend the affected Service only to the extent reasonably necessary to address non-payment after notice, material Customer breach, a legal or RIPE NCC requirement, or an urgent security, abuse or routing risk. We will notify you of the reason and next steps as soon as reasonably practicable, subject to any restriction imposed by law or a third party.

11.3 Ending a Service does not remove any right or obligation that accrued before it ended, including payment for amounts properly due, required data protection, confidentiality, or a resource-return and renumbering obligation under a Product Agreement.

12. Refunds and complaints

12.1 The Accepted Order and Product Agreement state the commercial refund rules for the Service, including any amount due if an application is refused, cancelled before submission, withdrawn after submission, not delivered, or terminated early. A refund term is subject to mandatory law and applicable consumer remedies.

12.2 A fee may be retained or deducted only where the Product Agreement or Accepted Order clearly provides for it and applicable law permits it. This clause does not set a general no- refund rule or a refund amount for any product.

12.3 A complaint concerning the Service or these Terms may be submitted to [email protected] or another complaints channel identified in the Accepted Order. A data-protection complaint may be submitted through the data-protection complaints channel identified in the Privacy Notice. Where UK data-protection law applies, the Provider will acknowledge receipt within the period required by that law and will take appropriate steps to investigate and respond without undue delay. Nothing in this clause restricts a person's right to complain to a competent regulator or exercise another mandatory remedy.

13. Privacy, notices and records

13.1 The applicable Privacy Notice explains how the Provider processes personal data, the recipients of that data and how to exercise data-protection rights. A Consumer's acceptance of these Terms is not consent to processing where a different lawful basis is required.

13.2 You may provide personal data about employees, signatories, technical contacts, downstream users or other individuals only where you are authorised to do so and have provided any notice required by law. Each Party will determine its data-protection role for each processing activity. Where the Provider processes personal data on behalf of the Customer as a processor, the Parties must put in place a written agreement meeting applicable data- protection law before that processing begins.

13.3 The Provider may disclose Order information, supporting documents and contact details only to the extent reasonably necessary to perform the Service, comply with an applicable RIPE Policy or legal obligation, or protect the relevant resource, and only to recipients or recipient categories described in the applicable Privacy Notice or Accepted Order, or otherwise permitted or required by law. This clause does not create a general right to disclose information to an unidentified recipient.

13.4 Contract notices will be sent to the notice email or other channel specified in the Accepted Order or Product Agreement. You must keep those details current. An operational or marketing email is not a contractual notice unless it clearly says so.

13.5 Each Party is responsible for identifying whether its disclosure of, or provision of access to, personal data constitutes a restricted international transfer under the data-protection law applicable to that Party. Where a restricted transfer occurs, the responsible Party shall ensure that an applicable adequacy arrangement, approved contractual safeguard, other permitted transfer mechanism or lawful exception is in place before the transfer. Remote access by personnel, contractors, subprocessors or other recipients shall be assessed according to their actual legal relationship and location. Nothing in these Terms represents that geographic access is compliant merely because the underlying systems are hosted in the United Kingdom or another particular country.

13.6 The Provider will retain the accepted Order and document versions, signatures or acceptance evidence, payment and delivery records, and relevant notices for the periods required for the Service, law, accounting, security or dispute resolution. Specific retention periods and data rights are described in the Privacy Notice.

14. Liability

14.1 The liability rules and any financial cap for a Service are set in its Product Agreement. This clause does not replace the distinct liability arrangements in the Sponsoring LIR Agreement or IPv4 Agreement.

14.2 Nothing in the contract excludes or limits liability that applicable law does not permit to be excluded or limited, including any non-excludable Consumer rights and remedies.

14.3 The Provider is not responsible for a decision, delay or act of RIPE NCC or another independent third party except to the extent a loss results from the Provider's own breach of contract or other liability that cannot lawfully be excluded.

14.4 No numerical cap, exclusion of loss, indemnity or allocation of third-party risk is created by this clause. The applicable Product Agreement must be reviewed with these Terms as one package.

15. Events outside reasonable control

15.1 A Party is not liable for delay caused by an event outside its reasonable control to the extent the event could not reasonably be avoided or overcome. The affected Party will notify the other Party when reasonably practicable, take reasonable steps to reduce the impact, and resume performance when able.

15.2 This clause does not excuse payment already due, remove a Consumer's mandatory rights, or override a specific remedy or resource-continuity rule in a Product Agreement.

16. Changes, assignment and relationship

16.1 We may publish revised Terms for future Orders. A change to an existing Accepted Order takes effect only under the change mechanism in its Product Agreement, by an amendment accepted by both Parties, or where mandatory law permits it. Continued use alone does not amend a signed Product Agreement.

16.2 Neither Party may assign an Accepted Order or Product Agreement except as allowed by that Product Agreement, by an approved RIPE contractual relationship change, or by mandatory law. No assignment changes the legal or registry status of an Internet number resource.

16.3 The Parties are independent contractors. These Terms do not create a partnership, agency, employment relationship or joint venture.

17. Electronic communication and service notices

17.1 Where permitted by law and agreed for the Order, the Parties may use the email address or electronic channel identified in the Accepted Order for order, signing, payment, service, renewal, support and contractual communications. Nothing in this clause removes a right to a durable medium, prescribed form, paper copy or other channel required by applicable law, including any mandatory Consumer right.

17.2 A service activation notice records the delivery event only as provided in the Product Agreement. It cannot change the Accepted Order or add a service, charge or technical commitment.

17.3 Each Party will take reasonable care of its account credentials, authorised signatory access and private order links. The Customer must promptly report suspected unauthorised use through the published support channel.

18. Governing law and jurisdiction

18.1 Subject to mandatory law, these Terms, each Accepted Order incorporating them, and any non-contractual obligation arising from them are governed by the law of England and Wales, except to the extent the applicable Product Agreement expressly provides otherwise.

18.2 Subject to mandatory law and the applicable Product Agreement, the courts of England and Wales shall have exclusive jurisdiction in relation to a business Customer.

18.3 Where the Customer is a Consumer, nothing in clauses 18.1 or 18.2 deprives the Consumer of a mandatory protection or jurisdictional right that cannot lawfully be excluded by agreement.

19. General

19.1 If a provision is unenforceable, it will be adjusted only to the minimum extent needed to make it enforceable, if permitted by law. The remaining provisions continue to apply.

19.2 A failure or delay in exercising a right does not waive that right.

19.3 A person who is not a Party has no right to enforce these Terms unless mandatory law or an applicable Product Agreement expressly gives that person a right.

19.4 These Terms and the operative Product Agreements are concluded in English unless the Accepted Order expressly states otherwise. A translation may be supplied for convenience. Unless mandatory law requires otherwise, the English version prevails in the event of an inconsistency. A translation does not reduce or exclude any mandatory right of a Consumer.

19.5 These Terms apply only from the effective date and version expressly identified in an Accepted Order. A previous Order remains tied to the document versions recorded in its accepted copy.
